Non-Disclosure Agreement (NDA)

At Amazon Appeal Xperts, we understand that your Amazon seller account contains sensitive business information. This Non-Disclosure Agreement ensures that all information you share with us remains strictly confidential and is used solely for the purpose of assisting with your appeal.
1. Parties to This Agreement
This Non-Disclosure Agreement ("Agreement") is entered into between:
- Disclosing Party ("Client"): The individual or business entity engaging Amazon Appeal Xperts for appeal services
- Receiving Party ("Company"): Amazon Appeal Xperts, located at Avinguda Diagonal, 197, 08018 Barcelona, Spain
2. Definition of Confidential Information
"Confidential Information" includes, but is not limited to:
- Amazon Seller Central login credentials and account access information
- Business financial records, sales data, and revenue information
- Supplier information, invoices, and business relationships
- Product listings, pricing strategies, and inventory data
- Personal identification documents (passport, ID, utility bills)
- Bank statements and payment account details
- Correspondence with Amazon, including suspension notices and appeals
- Business plans, strategies, and proprietary processes
- Customer data and order information
- Any other information marked as confidential or that should reasonably be understood as confidential
3. Obligations of the Receiving Party
Amazon Appeal Xperts agrees to:
- Hold all Confidential Information in strict confidence
- Use Confidential Information solely for the purpose of providing appeal and reinstatement services
- Not disclose any Confidential Information to third parties without prior written consent from the Client
- Limit access to Confidential Information to team members who need to know such information to perform their duties
- Implement and maintain appropriate security measures to protect Confidential Information
- Not copy, reproduce, or distribute Confidential Information except as necessary for service delivery
- Return or securely destroy all Confidential Information upon request or completion of services
4. Exclusions from Confidential Information
This Agreement does not apply to information that:
- Is or becomes publicly available through no fault of the Receiving Party
- Was rightfully in possession of the Receiving Party prior to disclosure
- Is independently developed by the Receiving Party without use of Confidential Information
- Is disclosed with prior written approval from the Disclosing Party
- Is required to be disclosed by law, regulation, or court order (with prompt notice to the Client)
5. Duration of Confidentiality
The obligations of confidentiality under this Agreement shall remain in effect for a period of five (5) years from the date of disclosure of such Confidential Information, or until the information no longer qualifies as confidential, whichever occurs first. For trade secrets, confidentiality obligations shall continue indefinitely as long as the information remains a trade secret.
6. Data Security Measures
We implement the following security measures to protect your information:
- Encrypted data transmission (SSL/TLS) for all communications
- Secure, password-protected storage systems
- Limited access controls based on role and necessity
- Regular security audits and updates
- Secure deletion protocols for completed cases
- No storage of credentials after case completion
7. Return or Destruction of Information
Upon completion of services, termination of the business relationship, or upon written request by the Client, Amazon Appeal Xperts will either return all Confidential Information to the Client or securely destroy it, including all copies, notes, and derivatives. We will provide written confirmation of destruction upon request.
8. No License Granted
Nothing in this Agreement grants the Receiving Party any rights, title, or interest in or to any Confidential Information disclosed. All Confidential Information remains the sole property of the Disclosing Party.
9. Remedies for Breach
The Client acknowledges that any breach of this Agreement may cause irreparable harm for which monetary damages may be inadequate. In addition to any other remedies available at law or in equity, the Client shall be entitled to seek injunctive relief to prevent any actual or threatened breach of this Agreement.
10. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Spain and the European Union, including GDPR regulations. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Alicante, Spain.
11. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding confidentiality and supersedes all prior negotiations, representations, or agreements relating to this subject matter. Any modifications to this Agreement must be in writing and signed by both parties.
Automatic Agreement
By engaging our services and sharing confidential information with Amazon Appeal Xperts, you automatically enter into this Non-Disclosure Agreement. No separate signature is required. This Agreement becomes effective upon the first disclosure of Confidential Information.
